Psyence BioMed invests $5M in PsyLabs for U.S. ibogaine program

Psyence BioMed Ltd. announced a strategic investment of up to $5 million in Psyence Labs Ltd. to advance its ibogaine program in the United States, specifically targeting opioid use disorder (OUD) in Texas. This investment includes a cash commitment and a share exchange agreement, according to RTT News.

Details of the Investment

The investment involves Psyence BioMed subscribing to 936 ordinary shares of PsyLabs at $2,564 per share, totaling $2.4 million, based on a pre-money valuation of $54 million for PsyLabs. Additionally, Psyence BioMed has a backstop commitment of up to $2.6 million, divided into two tranches of $1.3 million each, contingent upon meeting certain milestones by December 31, 2026. If these milestones are not achieved, the obligation to fund will expire.

Share Exchange Agreement

As part of the agreement, Psyence BioMed will issue 1,497,500 common shares to PsyLabs, valued at approximately $8.99 million, with a deemed issue price of $6 per share. In exchange, PsyLabs will provide 3,473 ordinary shares to Psyence BioMed, reflecting an implied valuation of $60 million for PsyLabs. The share exchange is subject to termination if not completed by November 30, 2026, pending necessary approvals.

Establishing U.S. Operations

To facilitate its U.S. operations, Psyence BioMed has formed the Texas Ibogaine Research Corp. (TIRC), a subsidiary focused on regulatory, clinical, and development activities related to ibogaine. Any clinical trials will require protocol development, regulatory review, and institutional approvals, alongside funding and site selection.
